Terms of Service

By accessing or using Tadhkir you confirm that you are at least 18 years old, have the legal authority to enter into this agreement on behalf of your business, and agree to comply with these Terms and all applicable laws.

Tadhkir is a WhatsApp-native customer retention platform for service businesses. We automate the sending of service reminders and re-engagement messages to customers on your behalf, based on data you provide. We do not guarantee specific commercial outcomes but provide tools to facilitate customer engagement.

All content, features, and functionality of Tadhkir — including but not limited to the software, source code, algorithms, user interface, text, graphics, logos, and the selection and arrangement thereof — are the exclusive property of Istibqa Ltd and are protected by UK and international copyright, trademark, and other intellectual property laws.

You may not, without the prior written consent of Istibqa Ltd:

• Reproduce, duplicate, copy, sell, resell or exploit any portion of the service
• Distribute, modify, or create derivative works based on the service
• Publicly display, publicly perform, republish, download, store or transmit any material from our service
• Decompile, reverse engineer, disassemble or attempt to derive the source code of the software
• Remove or alter any proprietary notices, labels, or marks on the service
• Use the service to build a competing product or service

Tadhkir is a proprietary product of Istibqa Ltd, registered in England and Wales (No. 17089113). Copyright in the United Kingdom is automatic and subsists from the moment of creation. Unauthorised reproduction or commercial use of this software is strictly prohibited and may result in civil and criminal liability.

We use Stripe to manage subscriptions and process payments securely. By subscribing you authorise us to charge your payment method on a recurring basis for your chosen plan.

• All fees are stated in your chosen currency and are exclusive of any applicable taxes
• Subscriptions renew automatically unless cancelled before the renewal date
• All payments are non-refundable unless otherwise required by applicable law
• We reserve the right to change pricing with 30 days' notice
• Failure to pay may result in suspension or termination of your account

You are solely responsible for all data you submit to the platform and all messages sent through our service. You agree to:

• Obtain lawful consent from your customers before adding their contact data
• Comply with WhatsApp's Business Messaging Policy and Terms of Service
• Comply with all applicable data protection laws including UK GDPR and Saudi PDPL
• Not use the service to send spam, unsolicited messages, or misleading content
• Not attempt to gain unauthorised access to any part of the platform or its related systems
• Not use the service for any unlawful, harmful, or fraudulent purpose

We reserve the right to suspend or terminate accounts that violate these obligations without notice or refund.

By using Tadhkir you acknowledge that you are the data controller for your customers' personal data, and that Istibqa Ltd acts as a data processor on your behalf. We process customer data solely for the purpose of delivering the service as instructed by you. Our processing activities are governed by our Privacy Policy and, where applicable, a Data Processing Agreement.

Participation in the Tadhkir Affiliate Programme is subject to separate Affiliate Terms. Commissions are subject to a 60-day holding period before becoming available for withdrawal. Istibqa Ltd reserves the right to forfeit commissions where the underlying subscription is cancelled within the holding period, or where fraud or policy violations are detected.

The service is provided on an “as is” and “as available” basis without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of viruses or other harmful components.

To the maximum extent permitted by law, Istibqa Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the service.

Our total aggregate liability to you for any claims arising out of or relating to these Terms or the service shall not exceed the amount you paid to us in the 12 months preceding the claim.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to any mandatory consumer protection rights that may apply in your jurisdiction.

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the “Last updated” date. Your continued use of the service after such changes constitutes acceptance of the new Terms.
